In these Terms, "Website" means astritis.com and its related web pages. "User," "you," and "your" mean each person who accesses the Website.

"Services" means the professional accounting, tax, and advisory services offered by Astritis. "Content" means the text, graphics, images, logos, design, and other materials available on the Website.

"Engagement Letter or Authorization" means an agreed verbal or written engagement or authorization between Astritis and a client that establishes the professional relationship and sets out its scope, deliverables, and fees. Although an engagement letter is commonly written, an authorization may be verbal or written.

By accessing or using the Website, you agree to be bound by these Terms. If you do not agree, you must stop using the Website immediately.

You represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If you use the Website for a business, you represent that you have authority to bind that business to these Terms.

We may amend these Terms at any time. We will post material changes on this page with a revised "Last Updated" date. Your continued use of the Website after changes are posted confirms your acceptance of the revised Terms.

This Website-related limitation does not apply to professional services provided under a separate verbal or written Engagement Letter or Authorization. Those services are governed by the terms of that separate agreement.

In all events, Astritis’s total liability arising from your use of the Website will not exceed the greater of the Website-related fees you paid to us or CAD $12.

You will indemnify and hold harmless Astritis and its partners, employees, and agents from claims, damages, liabilities, costs, and expenses, including reasonable legal fees, arising from the following:

• your use of the Website;
• your breach of these Terms;
• your infringement of a third party’s rights, including intellectual-property or privacy rights; or
• content that you submit to the Website.

Your use of the Website is also governed by our Privacy Policy and its Cookie Disclosures, which are incorporated into these Terms by reference.

We collect, use, and disclose personal information in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation. If you are located in Quebec, additional protections under Law 25 may apply.

As an accounting firm, we handle sensitive financial information. We use reasonable physical, electronic, and procedural safeguards to protect client information. No Internet transmission or storage method is completely secure, however, and we cannot guarantee absolute security.

If you provide your email address, you consent to receive electronic communications from us about your inquiry or our services.

Any commercial electronic message we send will comply with Canada’s Anti-Spam Legislation (CASL). You may withdraw your consent to receive commercial electronic messages at any time by using the unsubscribe link in an email or by contacting us directly.

• We will send commercial messages only with your express or implied consent.
• Each message will clearly identify Astritis and provide our contact information.
• Each message will include a clear and easy unsubscribe mechanism.

We may modify, suspend, or discontinue the Website, or any part of it, at any time without notice or liability.

We do not guarantee that the Website will always be available or that it will be free from errors or interruptions.

These Terms are governed by and interpreted in accordance with the laws of the Provinces of Ontario and Quebec, Canada, and the federal laws of Canada applicable in those provinces.

Any dispute arising from these Terms or your use of the Website is subject to the exclusive jurisdiction of the courts of Ontario and Quebec.

The following general provisions apply to these Terms:

• Severability: If a provision is invalid or unenforceable, the remaining provisions will remain in full force and effect.
• Entire agreement: These Terms, together with the Privacy Policy and its Cookie Disclosures, form the entire agreement between you and Astritis about Website use and supersede prior agreements and understandings on that subject.
• No waiver: Our failure to enforce a provision is not a waiver of that provision or any other provision.
• Assignment: You may not assign your rights or obligations under these Terms without Astritis’s prior written consent. Astritis may assign its rights and obligations without restriction.
